1. Agreement to Terms

By accessing or using Multiverse AI ("Service," "Platform," "we," "us," or "our"), operated by AW3 Technology, Inc., you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms and conditions that may apply to specific features of our Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Multiverse AI is an artificial intelligence platform that provides:

• AI Chat & Prompt Engineering: Conversational AI interfaces powered by multiple language models
• Workflow Automation: Visual workflow builder with AI-powered nodes and integrations
• AI Agents: Customizable AI agents with specific instructions and contexts
• Context Management: Tools for organizing and managing AI conversation contexts
• Third-Party Integrations: Connections to Google Workspace, YouTube, and other services
• API Access: Developer APIs for programmatic access to platform features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes that may affect your use of the Service.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept full responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with any third party

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account and password. We recommend:

• Using a strong, unique password
• Enabling two-factor authentication when available
• Regularly reviewing your account activity
• Logging out from shared devices

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent, abusive, or illegal activity
• Non-payment of applicable fees
• Extended periods of inactivity (12+ months)
• At our sole discretion, with reasonable notice

You may terminate your account at any time through your account settings or by contacting support. Upon termination, your right to access the Service will immediately cease.

5. Third-Party AI Services

The Service integrates with multiple third-party AI providers to deliver AI-powered features:

• OpenAI (GPT-4, GPT-4o, GPT-4o-mini, and related models)
• Anthropic (Claude 3.5 Sonnet, Claude 3 Opus, and related models)
• Google AI (Gemini Pro, Gemini Flash, and related models)
• Perplexity AI (search and answer services)
• Other AI service providers as we expand capabilities

5.1 Data Sent to AI Services

When you use AI features, the following data may be sent to third-party AI providers:

• Prompts and messages you type directly into the Service
• Files you explicitly upload for AI processing
• Content you paste or import from non-Google sources
• Context you manually configure for AI agents
• System prompts and configuration you define

5.2 AI Provider Terms

Each AI provider has their own terms of service and privacy policies that govern how they handle data. By using AI features, you acknowledge that your content (excluding Google User Data) may be subject to those providers' terms. We encourage you to review:

5.3 AI Output Disclaimer

AI-generated content may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing, verifying, and editing any AI-generated content before use. We do not guarantee the accuracy, completeness, legality, or fitness for purpose of any AI-generated content.

6. Acceptable Use Policy

You agree not to use the Service to:

6.1 Prohibited Content

• Generate illegal content or content that promotes illegal activities
• Create content that infringes on intellectual property rights
• Produce harmful, abusive, harassing, threatening, or defamatory content
• Generate sexually explicit content involving minors
• Create content designed to deceive or defraud others
• Produce malware, viruses, or other harmful code
• Generate spam or unsolicited commercial communications

6.2 Prohibited Activities

• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent data segregation controls or security measures
• Use the Service for competitive intelligence against us
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service beyond approved API limits
• Impersonate any person or entity
• Collect or harvest user data without consent

6.3 Enforcement

Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account, legal action, and reporting to law enforcement authorities where appropriate.

7. Content and Intellectual Property

7.1 Your Content

You retain all ownership rights to original content you create using the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, store, and display your content solely for the purpose of providing and improving the Service.

7.2 Our Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is owned by AW3 Technology, Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written permission.

7.3 AI-Generated Content

Content generated by AI models is provided "as is." Ownership and rights to AI-generated content may be subject to the terms of the underlying AI providers. You are responsible for:

• Reviewing and verifying AI-generated content before use
• Ensuring AI-generated content does not infringe third-party rights
• Complying with applicable laws regarding AI-generated content
• Not representing AI-generated content as human-created where disclosure is required

7.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use such feedback without compensation or attribution to you.

8. Payment Terms

8.1 Fees and Billing

Certain features of the Service require payment. By subscribing to a paid plan, you agree to:

• Pay all fees according to the pricing plan you select
• Provide accurate and complete billing information
• Authorize us to charge your payment method on a recurring basis
• Pay any applicable taxes, duties, or government levies
• Keep your payment information current

8.2 Credits System

The Service uses a credit-based system for AI usage. Credits are consumed based on your usage of AI features. Credit costs vary by model and feature. Unused credits may expire according to your plan terms.

8.3 Subscription and Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We may change pricing with 30 days' notice, effective at your next renewal.

8.4 Refunds

Fees are generally non-refundable except as required by law or as explicitly stated in our refund policy. Contact support for refund requests, which will be evaluated on a case-by-case basis.

9. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your personal information, including our specific handling of Google User Data in compliance with Google's Limited Use requirements.

10. Disclaimers

We do not warrant that AI-generated content will be accurate, complete, current, reliable, or suitable for any purpose. You use AI-generated content at your own risk.

11. Limitation of Liability

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless AW3 Technology, Inc., Multiverse AI, and their officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create, submit, or share through the Service
• Your use of AI-generated content
• Any automated actions you configure (including emails sent via workflows)

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Termination does not entitle you to any refund of fees paid.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including for violation of these Terms.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data in accordance with our data retention policies. Sections that by their nature should survive termination will survive, including Sections 7, 10, 11, 12, and 14.

14. Governing Law and Disputes

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

14.4 Time Limitation

Any claim arising from these Terms must be brought within one (1) year after the cause of action arises, or such claim is permanently barred.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service, by email, or by other means at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AW3 Technology, Inc. regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
